AGCO Corporation or AGCO was incorporated in Delaware in April 1991. The Company is a manufacturer and distributor of agricultural equipment and related replacement. AGCO sells a full range of agricultural equipment, including tractors, combines, self-propelled sprayers, hay tools, forage equipment and implements and a line of diesel engines. The Company's products are recognized in the agricultural equipment industry and are marketed under a number of well-known brands, including: Challenger(r), Fendt(r), Massey Ferguson(r) and Valtra(r). In addition, it provides retail financing in the United States, Canada, Brazil, Germany, France, the United Kingdom, Australia, Ireland and Austria through its finance joint ventures with Cooperatieve Centrale Raiffeisen-Boerenleenbank B.A.' AGCO's compact tractors 'under 40 horsepower' are typically used on small farms and in specialty agricultural industries, such as dairies, landscaping and residential areas. The Company also offers a full range of tractors in the utility tractor category, including two-wheel and all-wheel drive versions. AGCO's utility tractors are typically used on small and medium-sized farms and in specialty agricultural industries, including dairy, livestock, orchards and vineyards. The Company offers self-propelled, three- and four-wheeled vehicles and related equipment for use in the application of liquid and dry fertilizers and crop protection chemicals. AGCO manufactures chemical sprayer equipment for use both prior to planting crops, known as pre-emergence, and after crops emerge from the ground, known as post-emergence. The Company also manufactures related equipment, including vehicles used for waste application that are specifically designed for subsurface liquid injection and surface spreading of biosolids, such as sewage sludge and other farm or industrial waste that could be safely used for soil enrichment. AGCO's hay tools and forage equipment include both round and rectangular balers, self-propelled windrowers, disc mowers, spreaders and mower conditioners and are used for the harvesting and packaging of vegetative feeds used in the beef cattle, dairy, horse and alternative fuel industries. The Company also distributes a range of implements, planters and other equipment for its product lines. AGCO provides a variety of precision farming technologies that are developed, manufactured, distributed and supported on a worldwide basis. The Company's AGCO Sisu Power engines division produces diesel engines, gears and generating sets. The diesel engines are manufactured for use in Valtra tractors and certain other branded tractors, combines and sprayers, as well as for sale to third parties. In addition to sales of new equipment, the Company's replacement parts business is an important source of revenue and profitability for both it and its dealers. AGCO sells replacement parts, many of which are proprietary, for all of the products it sells. The Company distributes products mainly through a network of independent dealers and distributors. AGCO's dealers are responsible for retail sales to the equipment's end user in addition to after-sales service and support of the equipment. The Company's distributors might sell its products through a network of dealers supported by the distributor. AGCO manufactures its products in locations intended to optimize capacity, technology or local costs. Furthermore, the Company continues to balance its manufacturing resources with externally-sourced machinery, components and replacement parts to enable it to better control inventory and its supply of components. AGCO's two main competitors on a worldwide basis are Deere & Company and CNH Global N.V. The Company is subject to environmental laws and regulations concerning emissions to the air, discharges of processed or other types of wastewater, and the generation, handling, storage, transportation, treatment and disposal of waste materials.
