Cyberspace Vita, Inc. was incorporated under the laws of the State of Nevada on November 7, 2006. The purpose for which the Corporation is organized is to engage in any lawful act or activity for which a Corporation might be organized under the General Corporation Law of the State of Nevada. The Company's original business plan was to create and conduct an online business for the sale of vitamins and supplements, however, the Company never generated any meaningful revenues. On May 5, 2008, the Company discontinued its prior business and changed its business plan. The Company's current business plan is to seek, investigate, and, if warranted, acquire one or more properties or businesses, and to pursue other related activities intended to enhance shareholder value. The Company has been in the development stage since its formation on November 7, 2006. The Company expects to encounter competition in its efforts to locate attractive opportunities, mainly from business development companies, venture capital partnerships and Corporations, venture capital affiliates of large industrial and financial companies, small investment companies, and wealthy individuals. The Company might participate in a business opportunity by purchasing, trading or selling the securities of such business. The Company's securities might be subject to a Securities and Exchange Commission rule that imposes sales practice requirements upon broker-dealers who sell such securities to persons other than established customers or accredited investors.
