A worm is usually on land and is a generic term for all non-arthropod invertebrates. A cnidaria generally lives in marine and other aquatic environments, and have specialized cells that capture prey.

flat worms are: triploblastic (cnidarians are diploblastic)

flat worms are: muscle tissue i believe (cnidarians just have simple nerves)

flatworms have specialized sense organs [auricles] (again cnidarians just have simple nerves)

there's a lot more.... but i cant remember it all
