Texaco is one of the world's largest oil companies, with exploratory, manufacturing, and marketing operations across the globe. Its primary petroleum-based products include automotive gasoline and oils, as well as aviation and heating fuels. Texaco expanded with the growth of the U.S. automobile industry in the early 20th century and quickly developed international production and marketing interests. By the 1960s it had established the largest sales network of any U.S. oil company, with operations concentrated in refining and marketing. The oil crisis of the 1970s cut off many of its international sources of crude oil and left it with limited reserves. Texaco was poised for recovery in 1984 when it entered into a court battle with Pennzoil Company over the acquisition of Getty Oil. Since settling with Pennzoil in 1988, Texaco has pursued an almost constant restructuring effort in an attempt to recapture its former profitability and prominence in the oil industry.

Texaco was founded during the early boom years of the Texas oil industry. In 1901 a gusher at the Spindletop oil field sent hundreds of entrepreneurs into Beaumont, Texas. Among them was Joseph S. "Buckskin Joe" Cullinan, an oilman who had begun his career working for Standard Oil Company in Pennsylvania. The Spindletop wells led to the rapid establishment of over 200 oil companies, pumping out as much as 100,000 barrels a day. Cullinan saw an opportunity in purchasing that crude for resale to refineries. With the help of New York investment manager Arnold Schlaet, he formed The Texas Fuel Company with an initial stock of $50,000. Cullinan and Schlaet began soliciting additional investments in New York and Chicago. After raising $3 million, they reorganized their venture as The Texas Company.

Cullinan immediately began constructing a pipeline between Spindletop and the gulf coast of Texas. He built a refinery at the Texas coastal city of Port Arthur, and from there the company shipped its oil to Louisiana sugar planters, who used it to heat their boilers. In the fall of 1902, salt water leaked into the Spindletop wells and ruined many of the companies based there. The Texas Company survived with a timely discovery of oil at Sour Lake, 20 miles northwest of Spindletop. Other strikes soon followed in Oklahoma and Louisiana.

With Cullinan's oil expertise and the financing of his New York backers, The Texas Company soon became one of the nation's most prominent oil companies. Cullinan continued to drill wells in the southwest region, building more pipelines to connect them with Port Arthur. By 1908 the company was selling to all but five western states, and by 1913 its assets were worth $60 million. The nickname Texaco came from the cable address of the company's New York offices. Texaco gained popularity as a product name, and in 1906 the company registered it as a trademark. The well-known logo first appeared in 1909 as a red star with a green "T" in the center. The company formally changed its name to Texaco Inc. in 1959.

At the time of Texaco's founding, oil was used primarily for lighting and as fuel for factories and locomotives. Texaco met this demand with its first consumer product, Familylite Illuminating Oil, introduced in 1907. After 1910, however, the automobile revolutionized the oil industry. Demand for gasoline, formerly considered a waste by-product of kerosene, expanded rapidly. Texaco followed this trend, and by 1914 its gasoline production surpassed that of kerosene. The company went from distributing gasoline in barrels to underground tanks to curbside pumps, and in 1911 it opened its first filling station in Brooklyn, New York. By 1916, 57 such stations were in operation across the country. Powered by the growth of the automobile industry and the high demand for petroleum created by WWI, Texaco quadrupled its assets between 1914 and 1920.

After WWI, Texaco continued to concentrate on its automotive gasoline and oil production, introducing new products and expanding its national sales network. In 1920 two researchers at its Port Arthur refinery developed the oil industry's first continuous thermal cracking process for making gasoline. Named after its founders, the Holmes-Manley process greatly increased the speed of the refining process as well as the amount of gasoline that could be refined from a barrel of crude. Texaco marketed this gasoline through its retail network, pushing into the Rocky Mountain region between 1920 and 1926, and into West Coast markets with the acquisition of California Petroleum Company in 1928.

Products introduced during the 1920s included the company's first premium gasoline, as well as Texaco Aviation Gasoline and automobile motor oils. To market the lighter oils it refined from Texas crude, Texaco launched its first nationwide advertising campaign. The slogan "Clean, Clear, Golden" appeared at Texaco's filling stations, which displayed its motor oils in glass bottles. By 1928 Texaco owned or leased more than 4,000 stations in all 48 states.

The company's growth was also reflected in its corporate structure. Finding Texas's corporation laws too restrictive for doing business on such a large scale, Texaco decided to move its legal home. In 1926 it formed The Texas Corporation in Delaware, which then bought out the stock of The Texas Company and reorganized it as a subsidiary called The Texas Company of Delaware. The company also moved its headquarters from Houston to New York. The Texas Corporation acted as a holding company for The Texas Company of Delaware and The Texas Company of California--formerly The California Petroleum Company--until 1941, when it merged with both and formed a single company known as The Texas Company.

The Texas Corporation's earnings reached an all-time high in 1929, but then dropped precipitously after the stock market crash. Overproduction, economic recession, and low prices plagued the oil industry in the early 1930s. The company embarked on a strategy of introducing new products to stimulate demand. Texaco Fire Chief Gasoline was launched in 1932, and the company advertised it by sponsoring a nationwide Ed Wynn radio program. Havoline Wax Free Motor Oil, developed after the acquisition of the Indiana Refining Company in 1931, followed two years later, halting its losses by 1934. In 1938 The Texas Corporation, still nicknamed Texaco, introduced Texaco Sky Chief premium gasoline and also began promoting its Registered Rest Rooms program, assuring motorists that their service stations were "Clean across the Country." In 1940 Texaco began its landmark sponsorship of the New York Metropolitan Opera's Saturday afternoon radio broadcasts. This program, which is still running, is the oldest association between a U.S. company and an arts program.

While The Texas Corporation promoted its products and services at home, it undertook vigorous expansion abroad. During the 1930s it began exploration and production in Colombia and Venezuela. In 1936 it joined with the Standard Oil Company of California to create the Caltex group of companies, a 50-50 venture in the Middle East. The Caltex group consolidated the operations of both of these companies east of the Suez Canal. Texaco also purchased a 50 percent interest from Standard Oil of California in the California Arabian Standard Oil Company, later renamed the Arabian American Oil Company (Aramco). The Caltex and Aramco ventures vastly expanded Texaco's sources of crude, and also enabled it to integrate its operations in the Eastern Hemisphere.

The entry of the United States into WWII brought dramatic changes for The Texas Corporation. About 30 percent of its wartime production went to the war effort, primarily in the form of aviation fuels, gasoline, and petrochemicals. The company worked closely with Harold L. Ickes, federal petroleum administrator for the war effort, who organized the nation's oil companies into several nonprofit operations. The Texas Pipe Line Company, a subsidiary, oversaw the completion of two federally sponsored pipelines from Texas to the East Coast.

Texaco also joined War Emergency Tankers Inc., which operated a collective tanker fleet for the War Shipping Administration. Another such venture was The Neches Butane Products Company, which manufactured butadiene, an essential ingredient in synthetic rubber. This enterprise gave Texaco its start in the infant petrochemicals industry, and after the war it purchased a 25 percent interest from the Federal Government in the Neches Butane plant. Texaco acquired full ownership of this operation in 1980. The company furthered its interests in petrochemicals in 1944 when it formed the Jefferson Chemical Company with the American Cyanamid Company. Texaco later bought out American Cyanamid's interest in this venture and then merged it with its newly formed Texaco Chemical Company in 1980.

With the end of WWII, Texaco faced renewed customer demand at home. U.S. consumption of oil exceeded its production for the first time in 1947, and Texaco reacted by tapping new foreign sources for its crude oil. In 1945 Texaco's jointly owned Caltex companies increased their refining capacity on Bahrain, reaching 180,000 barrels per day by 1951. Texaco also formed the Trans-Arabian Pipe Line Company with three other oil companies to build a pipeline connecting Saudi Arabia's oil fields with the eastern Mediterranean. At home, Texaco increased its refining capacity with the Eagle Point Works near Camden, New Jersey. It also introduced several new automotive products, including Texaco Anti-Freeze and Texamatic Fluid for automatic transmissions.

During the 1950s and 1960s Texaco concentrated on expanding its global refining and marketing operations. The acquisition of the Trinidad Oil Company in 1956 and the Seaboard Oil Company in 1958, both of which held proven reserves in South America, expanded its interests in the Western Hemisphere. To increase its production in the Amazon Basin, the company built a jointly owned trans-Andean pipeline in 1969 and a trans-Ecuadorian pipeline in 1972. To increase its production in Europe, moreover, Texaco purchased the majority interest in the West German oil company Deutsch Erdol A.G. in 1966. It also reorganized the Caltex group in 1967, taking over one-half of the group's interest in 12 European countries that it had been serving from Saudi Arabia. This move allowed the company to expand its marketing operations in Europe, while leaving the Caltex companies free to concentrate east of the Suez Canal, where they enjoyed their greatest market penetration. Texaco brought its petrochemical business to Europe in 1966 with a plant in Ghent, Belgium, and to Japan three years later.

In the United States, Texaco expanded its interests by acquiring regional companies and increasing its refining capacity. The company strengthened its position on the East Coast by buying the Paragon group of companies in 1959 and the White Fuel Corporation in 1962. In 1962 it also acquired mineral rights to two million undeveloped acres in west Texas from the TXL Oil Corporation. The company's petrochemical production grew rapidly during this period, with the addition of a new unit at the Eagle Point works in 1960 and one of the world's largest benzene plants in Port Arthur in 1961. Texaco's operating volumes doubled between 1960 and 1970, with gross production surpassing three billion barrels per day in 1970.

Texaco's tremendous growth came to an abrupt halt in the 1970s. The Arab-Israeli War, the OPEC embargo, and the nationalization of foreign oil assets in many overseas nations cut Texaco's profit margins and endangered its sources of crude. Furthermore, federal price controls and mandatory allocation regulations restricted Texaco's ability to raise prices or withdraw from unprofitable markets. Its net income dropped from $1.6 billion in 1974 to $830.6 million a year later and remained at that level for the rest of the decade.

Tensions in the Middle East prompted a wave of nationalizations in the oil industry. In 1972 Saudi Arabia began to nationalize the assets of Aramco, in which Texaco owned a 50 percent interest, and took over all of its operations in 1980. Between 1973 and 1974 Libya nationalized the Texas Overseas Petroleum Company, a Texaco subsidiary. The decade ended with the Iranian revolution displacing Texaco's interests there and the Caltex group selling off part of its operations to the Bahrain government.

Texaco increased its exploration efforts and reorganized its marketing operations at home. Drilling activities increased both onshore and offshore in the southwest, as well as in new areas such as the North Sea and eastern Atlantic. The company also modernized its refineries in order to maximize the yield from each barrel of crude. Texaco made its most dramatic alterations in its retail network, abandoning the 50-state plan that had made it the United States's largest seller of oil. It began to withdraw from unprofitable markets, cutting operations in all or parts of 19 states in the Rocky Mountain, Midwest, and Great Lakes regions. It also reduced its number of service stations and opened more modern outlets in high-volume areas.

The 1980s began with the U.S. economy still suffering from recession, but the deregulation of the oil industry offered Texaco new flexibility in trying to recoup its fortunes. Under the direction of its new chairman, John K. McKinley, Texaco undertook a major restructuring plan in 1980. It decentralized its operations into three major geographic oil and gas divisions representing the United States, Europe and Latin America, and West Africa, as well as one worldwide chemical organization called the Texaco Chemical Company. The company expanded its exploration program and it also committed more resources to projects for developing alternative fuels, such as coal gasification and shale oil.

Retrenchment in its refining and marketing operations continued with the closing of six inefficient refineries by 1982 and the reduction of its retail outlets from 35,500 in 1974 to 27,000 in 1980. Texaco introduced a new logo in 1981, a red "T" inside a white star and red circle, to promote its high-volume System 2000 stations. These stations were a quick success, with more than 1,200 in the United States by 1987. The company also added a new operating division in 1982, Texaco Middle East/Far East, and made several important acquisitions to bolster its reserve base. By 1985 Texaco's net income was once again above $1 billion.

In the middle of this comeback, Texaco became involved in a legal battle. The 1984 purchase of the Getty Oil Company had promised to speed Texaco's recovery by adding an estimated 1.9 billion barrels of proven reserves to its assets. Pennzoil Company filed suit, however, claiming that Texaco had interfered with its plans to acquire three-sevenths of Getty's shares. In the resulting court case, a Texas State District Court in Houston ordered Texaco to pay Pennzoil $10.5 billion in damages. Arguing that important New York and Delaware state laws had been ignored in the case, Texaco obtained an injunction from a federal court in New York that temporarily halted the payment of damages while it appealed the decision.

In February 1987 the Texas Court of Appeals upheld the decision. In order to protect its assets while continuing its appeals, the company filed for protection under Chapter 11 of the United States Bankruptcy Code. Texaco spent most of 1987 in Chapter 11 while continuing its litigation. As a result, it incurred its first operating losses since the Great Depression, finishing the year $4.4 billion in the red. After the Texas Supreme Court refused to hear an appeal, New York financier Carl Icahn began buying Texaco's rapidly depreciating stock in an attempt to force it to settle with Pennzoil. A few weeks later Texaco agreed to pay Pennzoil $3 billion rather than appeal the decision to the Supreme Court, allowing it to begin planning for its emergence from Chapter 11.

However, Icahn continued to buy the company's stock, and in early 1988 he began a takeover bid. Texaco's board of directors had submitted a restructuring plan to the shareholders for meeting the company's debt obligations. Icahn favored, instead, the sale of the company. He launched the biggest proxy battle in business history when he tried to gain control of five seats on the board of directors, but he was ultimately defeated in a June 1988 shareholders' election. The board of directors then agreed to buy out Icahn's interest in Texaco.

With the Pennzoil case and the takeover attempt behind it, Texaco rebuilt its market position under the leadership of chairman and CEO James Kinnear by selling off assets and undertaking new joint ventures. From 1987 to 1989 it sold its operations in Germany and Canada, as well as fixed assets in the United States (including 2,500 gas stations) and the Middle East, raising $7 billion in the process. It also expanded drilling operations in the North Sea and offshore California, while continuing its exploration efforts in Asia, Africa, and South America.

In 1988 Texaco U.S.A. transferred approximately two-thirds of its refining and marketing operations to Star Enterprise, a joint venture established with Saudi Arabia's Aramco. Other moves have included the acquisition of Chevron's marketing operations in six European countries and the company's first commercial application of its coal gasification technology in an electric plant in the Los Angeles basin.

The recession of 1991-92 depressed demand for petroleum products and forced prices lower. As a result, Texaco's revenue dropped from $40.51 billion in 1990 to $37.16 billion in 1991 to $36.53 billion in 1992, while net income fell from $1.41 billion in 1990 to $1.29 billion in 1991 to $1.04 billion in 1992. By 1993, net income had improved to $1.07 billion, but revenue continued to fall, dropping to $34.07 billion. That same year Kinnear retired and was succeeded by Alfred C. DeCrane Jr.

Starting in 1993, DeCrane guided Texaco through yet another restructuring intended to improve its competitiveness. Like almost every other U.S. oil company going through restructuring at the time, Texaco reduced its work force. A cut of 2,500 workers, or eight percent, over a one-year period contributed to a $200 million reduction in overhead in 1994. DeCrane also wanted Texaco to focus on its core oil and gas operations, so he divested the company of its chemical business. In 1994 Texaco sold the Texaco Chemical Company to the Huntsman Corporation for $850 million. That year the company also sold more than 300 scattered, unprofitable oil- and gas-producing properties to Apache Corporation for $600 million.

With the funds generated through these moves, Texaco could now increase its budget for overseas exploration and production. Seeking to increase production by 125,000 barrels a day by the end of the decade, Texaco began to pursue opportunities in Russia, China, and Colombia. In order to minimize its exposure in such risky areas of operation as Russia, Texaco, like other oil companies, turned to joint ventures with its competitors. For instance, Texaco formed the Timan Pechora Company L.L.C. with Exxon, Amoco, and Norsk Hydro to negotiate a production-sharing agreement with Russia for the Timan Pechora Basin, which may hold more than two billion barrels of oil.

The much leaner Texaco of the mid-1990s had yet to return to its former prominence, but was in better shape than in many years. One positive sign was Texaco's reentry into the Canadian market in 1995 with its $30 million reacquisition of Texaco Canada Petroleum Inc. With the company committed to increasing its capital spending overseas from 45 percent of total capital spending to 55 percent by 1998, Texaco seemed determined to get its share of the oil available outside the United States. Whether that would be enough for Texaco to recapture its past glory in a decade of heated competition remained to be seen.

Texaco ("The Texas Company") is the name of an American oil retail brand. Its flagship product is its fuel, "Texaco with Techron". It also owns the Havoline motor oil brand.

Texaco was an independent company until it merged into Chevron Corporation in 2001. It began as the Texas Fuel Company, founded in 1901 in Beaumont, Texas, by Joseph S. Cullinan, Thomas J. Donoghue, Walter Benona Sharp, and Arnold Schlaet upon discovery of oil at Spindletop. For many years, Texaco was the only company selling gasoline in all 50 states, but this is no longer true. Its logo features a white star in a red circle (a reference to the lone star of Texas), leading to the long-running advertising jingles "You can trust your car to the man who wears the star" and "Star of the American Road."[citation needed] The company was headquartered in Harrison, New York, near White Plains, prior to the merger.

Texaco gasoline comes with Techron, an additive developed by Chevron, as of 2005, replacing the previous CleanSystem3. The Texaco brand is strong in the United States, Latin America and West Africa. It has a presence in Europe as well; for example, it is a well-known retail brand in the UK, with around 1,100 Texaco-branded service stations.

The current CEO is David J. O'Reilly.

  • 1911 – Texaco purchased from owner of the Red Star Oil Company, one Mr. Dawkins.
  • 1928 – Texaco became the first U.S. oil company to sell its gasoline nationwide under one single brand name in all 48 states (50 states after Alaska and Hawaii joined the Union in 1959).
  • 1931 – The Texas Company (Texaco's corporate name) purchased Indian Oil Company, based in Illinois, a move that expanded Texaco's refining and marketing base in the Midwest and also gave Texaco the rights to Indian's manufacturing processes of Havoline "Wax Free" motor oil, which became a Texaco product and provided the company with a higher quality motor oil product.

  • 1937 – Texaco commissioned industrial designer Walter Dorwin Teague to develop a modern service station design. The resulting "Teague" Texaco station design was a functional white building with green trimmings featuring one or more service bays for "Washing", "Marfak Lubrication", etc., an office area with large plate glass window for display of tires, batteries and accessories along with "Men" and "Ladies" restrooms featuring Texaco-green tile walls and floors. The Teague station design was typically built of white porcelain tile but local and regional variations could include painted brick, concrete brick and stucco materials. Other features included red Texaco stars on the upper facade on outer sidewalls and above the service bays, and red lettering spelling out "TEXACO" above the office area. Stations were identified by the street from Texaco's "banjo" sign.
  • 1938 – Texaco introduced Sky Chief gasoline, a premium grade fuel developed from the ground up as a high-octane gasoline rather than just an ethylized regular product. Sky Chief was dispensed from a silver gas pump in contrast with the red pump used for Fire Chief gasoline - a move that would last many years until the early 1960s.
  • 1939 – Texaco became one of the first oil companies to introduce a "Registered Rest Room" program to ensure that restroom facilities at all Texaco stations nationwide maintained a standard level of cleanliness to the motoring public. The company hired a staff of inspectors who traveled from station to station periodically to ensure that restrooms were up to standard.[citation needed] The "Registered Rest Room" program was later copied by other oil companies and continued at Texaco until the energy crises of the 1970s.

  • 1941 – Texaco introduced a "24-hour" station program for selected outlets along major highways during the summer months, to help ensure that motorists driving at night were no more than a tankful away from a Texaco station.[citation needed]

  • 1954 – To meet the needs of modern automobiles with higher power engines, Texaco upgrades Sky Chief gasoline by adding Petrox as a new additive to increase octane ratings to levels similar to aviation fuel of World War II vintage.[citation needed]
  • 1959 – The Texas Company changes its corporate name to Texaco, Inc. to better reflect the value of the Texaco brand name, which represented the biggest selling gasoline brand in the U.S. and only marketer selling gasoline under one brand name in all 50 states.

Both Fire Chief and Sky Chief gasolines are promoted as "Climate Controlled" as various blends of both gasolines are distributed to Texaco stations in various parts of the country.
  • 1964 – Texaco introduces the "Matawan" service station design at a station in Matawan, New Jersey. Features include mansard roofing design, service bays moved to the side of station and sheetrock covering over most exterior walls.[5]
  • 1966 – Texaco replaces the long-running banjo sign with a new hexagon logo that had previously been test-marketed with the "Matawan" station design introduced two years earlier. The new logo featured red outline with TEXACO in black bold lettering and small banjo logo with red star and green T at bottom. Texaco also enters agreement with Howard Johnson's for Texaco credit card to be honored for charging of lodging and food at Howard Johnson motor lodges, a widespread trend of the time among major oil companies that would last until the 1973 oil crisis.
  • 1967 – Regent name replaced by Texaco at British petrol stations.[6]
  • 1970 – In response to increasingly stringent federal emission standards that would ultimately lead to mandating of unleaded gasoline in 1975 and later-model cars and trucks, Texaco introduced Lead-free Texaco as the first regular-octane lead-free gasoline at stations in the Los Angeles area and throughout Southern California. Lead-free Texaco would become available nationwide in 1974, in time for the introduction of 1975-model vehicles.
  • 1978 – Texaco Canada Ltd. merges with Texaco Explorations Canada Ltd. to form Texaco Canada Inc.[4]
  • 1980 – Texaco replaces Sky Chief gasoline, a leaded premium grade, with new Super Lead-free Sky Chief. Following an industry trend of oil companies retrenching from operating service stations nationwide by pulling out of marginally-profitable or unprofitable regions that began with the 1973 Arab Oil Embargo, Texaco also ends its 50-year-plus commitment to 50-state marketing of gasoline by pulling out of Montana and several other states in the North Central and Midwestern U.S.[citation needed]
  • November 21, 1980 – Lake Peigneur/Jefferson Island disaster
  • 1982 – Texaco replaces 1966-vintage hexagon logo with a new rendition of the old banjo sign in red and white featuring the star and "T".[citation needed] The new service station design emphasizes use of dark colors including, black, red and gray. Gasoline products receive name changes with the advent of self-service including Lead-free Texaco to Texaco Unleaded, Fire Chief to Texaco Regular, and Super Lead-free Sky Chief to Texaco Super Unleaded.
  • 1984 – Bought Getty Oil (including Tidewater Petroleum). The Getty name and stations in the Northeastern United States were sold to Power Test and are now owned by Lukoil. Getty's Skelly stations in several Midwestern states rebranded as Texaco stations, including a few states in which Texaco returned after withdrawing a few years earlier.[citation needed]

  • 1985 – On November 19, Pennzoil (represented by famous litigator Joe Jamail) won a US$10.53 billion verdict from Texaco in the largest civil verdict in US history (Texaco established a signed contract to buy Getty Oil after Pennzoil entered into an unsigned, yet still binding, buyout contract with Gordon Getty). To obtain the billions required to pay the verdict, Texaco sold 50% of its interests in marketing east of the Mississippi and Texas and its three Gulf Coast refineries to Saudi Aramco, which in turn formed a holding company called Saudi Refining that held the 50% ownership in the new venture called Star Enterprise[citation needed]. Texaco also withdrew from marketing gasoline in the Chicago area by selling its service stations and distribution facilities to Mobil in an exchange agreement for which Texaco acquired former Mobil outlets in the Oklahoma City area.[citation needed]
  • 1987 – Texaco files for bankruptcy; company continues trading under protection of U.S. bankruptcy laws.
  • 1989 – Texaco sells its Canadian refining and marketing operations to Imperial Oil, the Canadian subsidiary of Exxon Corp. In most areas of Canada, service stations rebranded from Texaco to Esso. (Locations in the Maritimes were acquired separately by Ultramar, and in Newfoundland and Labrador by Great Eastern Oil, now owned by North Atlantic Refining.)[citation needed]
  • 1989 – Texaco introduces System3 gasolines in all three grades of fuel, featuring the latest detergent additive technology to improve performance by reducing deposits that clog fuel injection systems.
  • 1993 – Several dozen tribal leaders and residents from the Ecuadoran Amazon file a billion-dollar class-action lawsuit against Texaco, as a result of massive ecological pollution of the area and rivers around Texaco's Ecuadorian off-shore drilling sites, causing toxic contamination of approximately 30,000 residents. http://www.texacorainforest.com/why/index.htm
  • 1994 – Texaco's System3 gasolines replaced by new CleanSystem3 gasolines for improved engine performance.
  • 1995 - Texaco merges its Danish and Norwegian downstream operations with those of Norsk Hydro under the new brand HydroTexaco. This joint venture was sold in 2007 to Norwegian retail interests as YX Energi, following the purchase of Hydro by Statoil.
  • 1996 – Texaco pays over $170 million to settle racial discrimination lawsuits filed by black employees at the company. It was the largest racial discrimination lawsuit settlement in the United States at the time, and was particularly damaging to Texaco's public relations when tapes were released containing ethnic slurs used repeatedly by company officers at high-level corporate meetings.[7]
  • 1998 – Formed joint venture Equilon with Shell Oil Company, combining their Western and Midwestern U.S. refining and marketing.[8] This gave rise to the 2006 U.S. Supreme Court antitrust case of Texaco Inc. v. Dagher, which cleared both Texaco and Shell of any antitrust liability concerning the pricing of Equilon's gasoline.
  • 1998 – Formed joint venture Motiva with Shell Oil Company and Saudi Aramco in which the Star Enterprise operations were merged with the Eastern and Gulf Coast U.S. refining and marketing operations of Shell.[8]
  • 2001 – Chevron Corporation merges with Texaco. Shell purchases Texaco's interest in the Equilon and Motiva joint ventures.[9]
  • 2002 - Shell Oil Company begins converting its Texaco stations to the Shell brand, a process expected to be complete by June 2004, "the largest retail re-branding initiative in American business history."[10]
  • July 2004 – Chevron regains non-exclusive rights to the Texaco brand name in the U.S.[11]
  • August 2005 – Texaco introduces the Techron additive into its fuels in the U.S. and parts of Latin America.[12]
  • July 2006 – Chevron regains exclusive rights to the Texaco brand name in the U.S. and begins opening up gas stations across the U.S.[13]
  • 2007 - Delek Benelux took over marketing activities for Chevron Global Energy Inc. in Benelux, including 869 filling stations, mostly under the Texaco brand.[14]

Corporate headquarters

Prior to the merger, Texaco's headquarters, a 750,000-square-foot building, were in Harrison, New York, near White Plains.[15][16][17] In 2002 Chevron sold the former Texaco headquarters to Morgan Stanley. Morgan Stanley bought the building and the surrounding 107 acres for $42 million.[15]

Texaco is associated with the Havoline brand of motor oil and other automotive products. It is one of the sponsors of NASCAR with drivers like Davey Allison, Ernie Irvan, Ricky Rudd, Jamie McMurray, and Casey Mears. Texaco last sponsored Car 42, driven by Juan Pablo Montoya. Havoline has sponsored a NASCAR race car continuously since the early 1980s. At the end of the 2008 NASCAR season, Texaco Havoline officially ended their sponsorship with NASCAR and the Chip Ganassi Racing Team. This brings to a close a 20-plus year relationship with the sport. Texaco has also has also been involved in open wheel racing, sponsoring the Texaco Grand Prix of Houston along with sponsoring drivers like Indianapolis 500 winner Mario Andretti and his son Michael.

Texaco was long associated with the Metropolitan Opera as sole sponsor of its radio broadcasts for 63 years. It was identified as well with such entertainment legends as Bob Hope, Jack Benny and Milton Berle (many of their shows were originally sponsored by Texaco - see Texaco Star Theatre, which includes the sponsorship lyrics of the opening theme: "We're the men of Texaco, We work from Maine to Mexico..."). Berle's program was broadcast in the same time slot as Fulton J. Sheen's religious program for a while, thus leading to Berle's oft-quoted quip, "We both have the same boss - Sky Chief!"

In 1958, Texaco became the sole sponsor of The Huntley-Brinkley Report on NBC-TV. The nightly newscast had had difficulty retaining sponsors since it first took the air in the fall of 1956.

In Latin America, Texaco sponsors Brazilian soccer superstar Ronaldinho. In West Africa, Texaco sponsors the soccer-based comic Supa Strikas.

Environmental issues

From 1965 to 1993, Texaco participated in a consortium to develop the Lago Agrio oil field in Ecuador. It has been accused of extensive environmental damage from these operations, and faces legal claims from both private plaintiffs and the government of Ecuador. The case has been widely publicized by environmental activists and is the subject of Crude, a 2009 documentary film by Joe Berlinger. Chevron claims that it is being unfairly targeted as a deep pocket defendant, when the actual responsibility lies with the government and its national oil company.

The NiMH chemistry used in modern hybrid vehicles was invented by ECD Ovonics founder, Stan Ovshinksy, and Dr. Masahiko Oshitani of the Yuasa Company[18][19] In 1994, General Motors acquired a controlling interest in Ovonics's battery development and manufacturing. On October 10, 2001, Texaco purchased GM's share in GM Ovonics, and Chevron completed its acquisition of Texaco six days later. In 2003, Texaco Ovonics Battery Systems was restructured into Cobasys, a 50/50 joint venture between Chevron and Energy Conversion Devices (ECD) Ovonics.[20] Chevron's influence over Cobasys extends beyond a strict 50/50 joint venture. Chevron holds a 19.99% interest in ECD Ovonics.[21] In addition, Chevron maintains the right to seize all of Cobasys' intellectual property rights in the event that ECD Ovonics does not fulfill its contractual obligations.[22] On September 10, 2007, Chevron filed a legal claim that ECD Ovonics has not fulfilled its obligations. ECD Ovonics disputes this claim.[23] Since that time, the arbitration hearing was repeatedly suspended while the parties negotiate with an unknown prospective buyer. No agreement has been reached with the potential buyer.[24] Cobasys's patents relating to NiMH batteries expire in 2015.

In her book, Plug-in Hybrids: The Cars that Will Recharge America, published in February 2007, Sherry Boschert argues that large-format NiMH batteries are commercially viable but that Cobasys refuses to sell or license them to small companies or individuals. Boschert argues that Cobasys accepts only very large orders for these batteries. When Boschert conducted her research, major auto makers showed little interest in large orders for large-format NiMH batteries. However, Toyota employees complained about the difficulty in getting smaller orders of large format NiMH batteries to service the existing 825 RAV-4EVs. Because no other companies were willing to make large orders, Cobasys was not manufacturing nor licensing any large format NiMH battery technology for automotive purposes. Boschert concludes that "it's possible that Cobasys (Chevron) is squelching all access to large NiMH batteries through its control of patent licenses in order to remove a competitor to gasoline. Or it's possible that Cobasys simply wants the market for itself and is waiting for a major automaker to start producing plug-in hybrids or electric vehicles."[25]

In an interview with the Economist, Ovshinsky subscribed to the former view. "I think we at ECD we made a mistake of having a joint venture with an oil company, frankly speaking. And I think it’s not a good idea to go into business with somebody whose strategies would put you out of business, rather than building the business.[26]"

In December 2006, Cobasys and General Motors announced that they had signed a contract under which Cobasys provides NiMH batteries for the Saturn Aura hybrid sedan.[27] In March 2007, GM announced that it would use Cobasys NiMH batteries in the 2008 Chevrolet Malibu hybrid as well.

In October 2007, International Acquisitions Services, Inc. and Innovative Transportation Systems AG filed suit against Cobasys and its parents for refusing to fill a large, previously agreed-upon order for large-format NiMH batteries to be used in the electric Innovan.[28]

In August 2008, Mercedes-Benz U.S. International Inc. filed suit against Cobasys claiming that Cobasys isn’t delivering the batteries it agreed to build for Mercedes-Benz’s planned hybrid SUV.[29]
