Different sections of the Uniform Commercial Code govern each one. Generally, limited liability companies and corporations limit the financial responsibility of the individual members, whereas partnerships do not. Additionally,corporations and most LLC's report and pay federal and state taxes as separate entities, while partners in a business file individual business tax returns.A corporation is a legal entity consisting of an individual, a group of individuals, or a group of businessesor organizations.Corporations are separate and distinct from their individual members and have the samerights, abilities and responsibilities as individual citizens in the United States. The principal features that distinguish a corporation from other businesses are perpetual duration, (unless the articles of incorporation specify otherwise) limited liability and easy transferability of interests. There are a number of different kinds of corporations, such as non-profit corporations and professional services corporations. A different section of the New York State Business Corporations Law applies to each one.Forming a corporation in New York state is a simple process. One or more persons, who must be 18 years or older, sign the Certificate of Incorporation and file it, along with applicable fees, with the Department of State. The corporation exists as soon as the members, or incorporators, file the documents. However, theNew York Business Corporations Law imposes additional requirements on the corporation after it is formed. For example, the incorporators must meet within a reasonable amount of time to elect directors and adopt by-laws, and they must hold a shareholders' meeting at least once each year. The Department of State recommends that incorporators consult a legal adviser for guidance in meeting all of the requirements of the Business Corporations Law.An LLC is a hybrid form of business that combines the limited financial liability of a corporation with the flexibility of a partnership. The owners of an LLC are members rather than partners or shareholders, and they operate under less stringent legal requirements than those the law imposes on incorporators. An individual, a corporation, a partnership, another limited liability company or any other legal entity is entitled to form an LLC, as long as all parties are over 18 years old.To form an LLC in New York State, members file Articles of Organization, along with applicable fees, with the Department of State. Members may mail the forms, but the state offers online filing through the OnlinePermit Assistance Licensing Program as well. The state requires that the LLC publishes a copy of the articles of organization or a notice related to the formation of the LLC in at least two daily newspapers within 120 days of filing. After publication, the newspaper issues a Certificate of Publication, which the LLCfiles with the Department of State. The law prohibits any business that fails to meet the publishing requirement from doing business in the state.General partnerships and limited partnerships are business arrangements between individuals or groups of individuals. A general partnership does not limit individual responsibility; all partners share personal liability for the business. A limited partnership designates responsibility based on the extent of each partner's capital contributions: limited partners share responsibility only to the extent that they share ownership. The Confederate States of America (CSA) had three Secretaries of State during its short existence: Robert Toombs (1861)Robert M T Hunter (1861-1862)Judah P Benjamin (1862-1865…) Robert Toombs was appointed by Confederate President Jefferson Davis to be the Confederacy's first Secretary of State due to Toombs' political prowess and popularity among the people. However, Toombs was constantly at odds with Davis, and in July of 1861 he resigned from Davis' Cabinet to become a Brigadier General in the Confederate Army. He continued serving in the Army and later the Georgia Militia until 1863, when he switched to being a full-time critic of President Davis and the Confederate government. After the war, he resumed his law practice in Georgia, his home state. Robert M T Hunter was appointed to the post following Toombs' resignation, but also found himself in contention with the Cabinet and President. Hunter left the Cabinet to become a Confederate Senator from Virginia and President Pro Tempore of the Confederate States Senate in 1862. William M Browne served as Acting Confederate Secretary of State for one month between Hunter's resignation and Judah P Benjamin's appointment. Judah P Benjamin served previously as the Confederate Attorney General and Secretary of War prior to his appointment by President Davis to Secretary of State. Benjamin secured war loans from France and tried to entice Great Britain into the war on the Confederacy's side, but was ultimately unsuccessful. After the CSA's defeat, Benjamin fled to London, where he embarked on a successful law career, and later Paris, where he died and is interned in the famous Pere Lachaise Cemetery. (MORE)
