Ashford Hospitality Trust, Inc. is a Maryland Corporation, which commenced operations in August 2003 with six hotel properties (the Initial Properties) when it completed its initial public offering and concurrently consummated certain other formation transactions. It operates as a self-advised real estate investment trust (REIT). The Company owns its lodging investments and conducts its business through Ashford Hospitality Limited Partnership, its operating partnership. Ashford OP General Partner LLC, a wholly-owned subsidiary of the REIT, serves as the sole general partner of its operating partnership. It currently operates in two business segments within the hotel lodging industry: direct hotel investments and hotel financing. Direct hotel investments refer to owning hotels through either acquisition or new development. Hotel financing refers to owning subordinate hotel-related mortgage through acquisition or origination. The hotel industry is highly competitive and the hotels in which it invests are subject to competition from other hotels for guests. Competition is based on a number of factors, most notably convenience of location, brand affiliation, price, range of services, guest amenities or accommodations offered and quality of customer service. Under various federal, state, and local laws and regulations, an owner or operator of real estate might be liable for the costs of removal or remediation of certain hazardous or toxic substances on such property.
