An offer made by one company to buy the shares of another for a much higher per-share price than what that company is worth. A bear hug offer is usually made when there is doubt that the target company's management will be willing to sell. By offering a price far in excess of the target company's current value, the offering party can usually obtain an agreement. The target company's management is essentially forced to accept such a generous offer because it is legally obligated to look out for the best interests of its shareholders.

The name "bear hug" reflects the persuasiveness of the offering company's overly generous offer to the target company. By offering such a large premium, the acquiring company essentially uses its clout to squeeze an agreement out of the target company's management.

In corporate takeovers, an offer by a suitor at a price well in excess of a target's current market value. If management resists, it risks violating its fiduciary obligation to act in the shareholders' best interest.

A Bear hug (also known as a bodylock) is a grappling clinch hold and stand-up grappling position where the arms are wrapped around the opponent, either around the opponent's chest, midsection, or thighs; sometimes with one or both of the opponents arms pinned to the opponent's body. The hands are locked around the opponent and the opponent is held tightly to the chest. The bear hug is a dominant position, with great control over the opponent, and is often a precursor to a takedown.
A variation of the bear hug is the inverted bear hug, where one wrestler has his hands locked behind his opponent's mid or lower back and presses his forehead into their sternum, while pulling his locked hands inwards towards himself; forcing his opponent to bend backwards and fall. It is a painful move as much pressure is being exerted onto the opponents sternum, often hurting the back bones and muscles as well as forcing air out of the lungs.
