Betawave Corporation was incorporated in the state of Nevada on February 2, 2005, under the name Unibio Inc. On September 14, 2006, the Company changed its name to GoFish Corporation. The Company sells its inventory and marketing services in the United States through a sales and marketing organization. Its market consists of publishers that operate websites with large, deeply engaged audiences and advertisers interested in reaching consumers online within its target demographics. In the online advertising market, the Company competes for advertising dollars with all websites catering to consumers, including portals, search engines and websites belonging to other advertising networks. It also competes with traditional advertising media, such as direct mail, television, radio, cable, and print, for a share of advertisers' total advertising budgets. The Company is subject to a number of foreign and domestic laws and regulations that affect companies conducting business on the Internet.
