Lifestyle Media business segment includes five national television networks and SN Digital, the Company's growing portfolio of related interactive lifestyle brands. This segment is anchored by two of America's most-watched national television networks, HGTV and the Food Network as well as their affiliated Web sites, and also has popular lifestyle television and Internet brands DIY Network, Fine Living and Great American Country. The Interactive Services segment operates the online comparison shopping services, Shopzilla and uswitch. This segment includes Internet-based businesses that strive to simplify online shopping for consumers by aggregating, organizing, ranking and displaying relevant and searchable consumer information. Interactive Services businesses operate mainly in the United States, the United Kingdom, France and Germany. The Company's Lifestyle Media branded Web sites compete for visitors and advertising dollars with other forms of media aimed at attracting similar audiences and must maintain popular content in order to maintain and increase site traffic. Its Interactive Services businesses compete for marketing service revenues with other comparison shopping services, general search engines, and other providers of information on shopping and essential home services. The Company's ability to maintain its relationship with participating retailers and service providers is dependent on its ability to provide them a cost effective means of attracting customers. Its programming services, and the distributors of the services, including cable operators, satellite operators and Internet companies, are regulated by U.S. federal laws and regulations issued and administered by various federal agencies, including the FCC, as well as by state and local governments.
