The company and the employee participate in a mutually-accepted agreement: The company agrees to pay the employee money to show up regularly and to do what the company wants done. In return, the employee agrees to show up regularly and do what the company wants done. At any moment that the employee feels personally dissatisfied with the arrangement for any reason, the employee is always free to withdraw from it, and leave the company. The company can't force him to stay employed by them and do things he doesn't want to do.

Employee time is your own free time, for example time spent at home, after hours. Company time is time spend at your place of work, or travelling for business purposes.
If you are on the employer phone I would say yes, but if you are at home on your own home phone and communication with your fellow employee I wouldn't think so. Misconduct only will be if you are on the Company phone and its against the company policy which in some cases it is, the phone shouldn't be used for anything that's not related to that business.
