You should be able to load the project without modifying any codes. However, the project or solution must be converted from 1.1 to 2.0 by Visual studio. The project file and the solution files are different between 2003 and 2005.

Also, you may get some compilation warning when migrating to vs 2005. Just may, depends on how the 1.1 was coded.
