A soundtrack either includes the music used in a movie, or songs that fit with the movie in general. A Karaoke CD, on the other hand, is filled with songs that (usually) have the lyrics removed, so you can sing the words yourself.
You could probably find karaoke versions of some songs that appear on soundtracks, true. However, if you try to sing along to the background music of a Transformers fight scene, for example, I for one will be very impressed.

Lyrics: When you sing with Lyrics on YouTube, you're basically singing WITH the Singer
Karaoke: When you sing a Karaoke on Youtube, the video is INSTRUMENTAL and there is a filling bar telling you when to Sing the song.
