A direct suit is a legal action brought by against a corporation by one or more of its shareholders on his own behalf. Any recovery goes to the shareholder.

A derivative suit is a legal action brought by shareholders on behalf of the corporation against some third party, for example the board of directors. Any recovery in a derivative suit goes to the corporation.
