Yes they will. After about 4 minutes brain cells will start dying due to the lack of oxygen. It is highly unrecommended to hold your breath that long.

Yes you will pass out before you die from holding your breath. Your brain wont be getting oxygen so it will temporarily shut down but when you pass out you will begin to breath again.

You will have at least attempted to breath before any brain cells will die, the only question at that point is if there is air available for you to breath or are you immersed in water, plastic or something else which prevents it from happening. Even in the most extreme cases of breath holding, the most you could do is force yourself to pass out, at which point your body will begin breathing and prevent brain damage; unless of course you have covered your air passages in some other way.
