It depends why.
- If it's for fun or a higher model, you probably can't.
- Broken iPods are different though. It depends.
- Water damage is a big no-no as the people at apple open it up to see a dial that tells them if it's been submerged.
If you do want to get it replaced see the retailer where you got it from or an apple store.

i have a 3g iPod touch and i can't sell it for a 4g ipod touch because the 4g ipod touch has more features than the 3g ipod touch what a bummer
