It is likely is she is going to die in either the sequel to the Amazing Spiderman which will be released in 2014 or in the expected third film which will probably be out in 2016. If you read interviews with director Marc Webb and Emma Stone both aknowledge the importance of the character's demise to the development of Peter's character. Also there are a few hints in the Amazing Spiderman that she will suffer the same fate as her character in the comics the main ones being: 1) During Peter's battle with the Lizard in the school at one point Gwen comes in and he throws her out of the window and uses his webbing to save her. This could be interpreted as foreshadowing how Peter fails to save Gwen in the comics because the Goblin throws her out of a bridge and his webbing fails to save her but if I remember right results in snapping her neck and killing her on impact. 2) The death of Captain Stacy is a precurser to Gwen's fate as he is killed first which affects Peter's relationship with the Gwen in the comics and later Gwen is. So you could make the argument that the studios are really trying to stick to the comics so by that logic Gwen's fate will inevtiably happen in the next film. 3) Probably the most obvious hint is Peter's decision to break Captain Stacy's promise to "leave Gwen out of it" this immediaely could set up the idea that Peter will pay the price for breaking that promise as by including her, he leaves her vulnerable for people like the Norman Osborne (who is sort of Gwen's boss as she works as an intern for Oscorp) to destroy to cripple Spiderman emotionally. So yeah I'd say there's an 80% chance she will be killed off and most likely in the second film. However if you watched the mid credits scene, the man in the shadows who many thought was Norman Osborne, Rhys Ifans has claimed isn't. So it's possible Norman/Green Goblin won't appear until the third film or he'll be revealed at the climax of the second film with Gwen being killed near the end as leaving her death till the third film could be considered too much of a downer for movie going audiences. Anyway I'd say Gwen dying is a very likely possibility so when the next movie comes out bring some tissues or a sleeve just in case.
