I'd say, that it is a physical change with which many chemical changes can be associated. If breathing is taken only to be exhaling and inhaling then it's a physical process. But, in essence the oxygen taken inside is ultimately initiating chemical reactions at cellular level - chemical change .

So, it sort of depends on the context chosen.
