an upgrade adds to what you already have by adding the newer features of a program to your existing program a clean install removes the old one which is ideal if it has been giving you trouble, i always prefer a clean install when possible

The main difference between clean installation and an in-place upgrade is that with the latter, you do not have to backup the installed programs or your data since they will be reinstalled and retained within the system. However, with a clean installation, you have to backup the information and manually reinstall all the programs you had in your system.

Obviously, a clean install of an OS would be better than an in-place upgrade if the old OS was corrupted, virus-infected, or malfunctioning. For example, upgrading to Windows 98 didn't necessarily replace all the files, so if you had corrupt files or registry corruption, it was possible that they wouldn't get overwritten. So a mouse error in Windows 95 may continue in Windows 98 due to corrupt files.

But an in-place upgrade is good if you need to get up and running in a hurry or don't want to risk your data.
