Giraffes are herbivores and typically fall into the prey category. Lions from time to time attack giraffes. If you talk to a tree that a girafee feeds on I am sure they will consider a giraffe a predator. In the grand scheme of things a giraffe grazes on the primary producer and is number 2 in the food chain so to speak. The lion would be number three and thus helps to keep the giraffe population in check.
They are mostly prey because they get eatin by cheetahs.

Can a giraffe be eaten by a cheetah?

No, a cheetah's stomach could never contain an entire giraffe, even a baby one. If you're asking if a cheetah could kill a giraffe and eat part of it, then yes, cheetahs do sometimes prey on infant giraffes. Adult giraffes, though, are rather formidable, and few predators are capable of taking them down... even lions seem to prefer to prey on calves rather than adults. The only serious predator of adult giraffes is humans.
