The transponder is in the head of the key. The antennae for the transponder is the plastic ring around where the key is inserted. It can be bypassed by putting the head of the key under the cover of the column, next to the antennae. A normal mechanical key would then start the vehicle. Useful in remote start applications.

Simply take the key hide it under your dash on the driver side in any fashion you feel comfortable with, but, of course, have a key cut that matches it(regular key) your computer will pick up the transponder under the dash and the $3 key will start it. Your other question will be "can people still my car now" yes, they can... will they.. NO, probably not. The reason for that is, that thieves know what they are stealing. they know your car has a transponder on it and won't even try.. they will move on to the next car. Can you bypass the transponder? NO. once again.. a thief knows this...
The dealership can generally program a new transponder key based on the VIN. Most good locksmiths can reproduce the key, but would need the original to do so.
A Toyota Matrix transponder key is factory programed. At times this programing can fail. It is a quick process for the dealership to reprogram the key. A lost key and transponder will cost approximately $100 to replace depending on model.
