Because Tobey Maguire decided his days of playing the character were behind him after Sam Raimi decided to not be the director for it. The producers thought getting both a new director and a new lead actor meant making a new series starting all over.
It was announced on January 2010 that "Spider-Man 4" was not being made afterall due to Sam Raimi deciding he was not directing the film and Tobey Maguire deciding he was not playing the character anymore as a result. Sony mentioned that there was still going to be a fourth movie- but it was going to be a reboot with a new director and a new cast.
Spiderman 4 was cancelled because the studio and director could not agree on how they wanted to make number 4.
Instead the studio (Sony Pictures) are making a brand new Spiderman movie with a new cast and a new director that will have a fresh story. It is filming for release in summer 2012.
Sam Raimi was not happy with the many drafts of the script. He hated them and he wanted another rewrite, but this meant Spider-Man 4 would have to be delayed. Sony was not happy and they decided to reboot the franchise.
Spider-Man 4's cancellation was the product of Sony Entertainment and co-writer/director Sam Raimi not being able to agree on the story for it. It started back when Spider-Man 3 was still in the writing and storyboard stages. Originally, the director wanted to have the villains be Sandman, Vulture, and Harry. But, when Sony realized that we fans were really wanting them to have Venom be the bad guy, Sony Entertainment forced Sam to ditch Vulture and replace him with Venom... Thing is, Sam Raimi wasn't a fan of Venom. He does admit that he grew a respect for the character after doing the film, but he did not like symbiotes at all. So, this is why Venom didn't have a lot of screen time. And when he did, it was with his face pulled back.Come around the time they announced Spider-Man 4, 5, and 6 Sony Entertainment said they would not interfere this time. It was all going to be on Sam. So, he promised us Lizard will finally get the spotlight in Spider-Man 4. And the story in Spider-Man 4 will lead into 5 which would come out the following year. Spider-Man 4 was set for May 2011, on the same day Marvel's Thor was supposed to come out. That's sort of where the controversy started... Then, for some unknown reason, Sony started controlling Spider-Man 4, but this time a bit harder than they did Spider-Man 3. They not only took control over who was in it, but the story as well.
The story would involve Peter having a child. With who? We don't know... It was never said. But, we know he had a kid in the script. We can probably assume it's Mary Jane's child, too. The plot would also involve Vulture as the villain. But, he would have a different story arc in the film than he does in the comics. In the film, he takes over the Daily Bugle newspaper that Peter works for. J. Jonah Jameson was demoted from being the Editor-in-Chief and was forced to work in the basement, doing tabloids, if he wanted to keep his job in the newspaper industry. This was because of the events in Spider-Man 3 when Eddie BrockplagiarizedPeter's photo. Vulture would have a goddaughter named Felicia Hardy (Black Cat in the comics). The thing with Vulture, though, is that he would have a real reason for hating Spider-Man besides selling newspapers. Again, this reason was never addressed as to why Vulture hated Spider-Man. But it was motivation enough to create a costume and kill Mary Jane. This leads to Peter killing Vulture and Felicia getting revenge on Spider-Man and becoming the Vulturess...
As a comic book fan, I look at all of this and am so happy this never got made...
So, yea. Sony was pushing for this story to happen. And because Sam Raimi DIDN'T want to do it, it ended up delaying the script being finished. Because of how long it took Raimi to do it, he dropped Spider-Man 5 altogether (Spider-Man 5 would have came out in the summer of 2012). Spider-Man 4's writing time leaked into their filming time.
Eventually, Raimi just up and left. He was done with Sony's bull and quit.
Turns out, though, Sony had a plan-B. The co-writer of Spider-Man 4, James Vanderbilt, was being hired to ALSO write a reboot movie that would have came out AFTER Spider-Man 4. I'm guessing Sony had new plans for the franchise that didn't involve Sam Raimi to continue... They knew the direction they were taking Spider-Man 4 would have upset SO MANY fans. There's just way too much wrong with Spider-Man 4 that Sony obviously knew it wouldn't set right with us...
The reboot became known as The Amazing Spider-Man. And it seems Sony is sticking with it for quite some time because the producers plan on there being three or four more movies. The Amazing Spider-Man 2 is currently filming in New York City and will be out next year.
NOTE: Marvel Studios does not own the film rights to Spider-Man. They own the publication, animation, and distribution rights, but not the movies. Sony Entertainment has owned the film rights to Spider-Man since the late-90's.

Apparently there is no solid reason as to why the show was cancelled. Although a third season was apparently contingent on ratings of the DVDs & ratings of the previous seasons.

Well, I know that the amazing spiderman (spiderman 4) game will be coming very soon. You can see the trailer on Utube. However, afterwards there has been no written scripts of any new spiderman games. Maybe they have decided that they've done enough? No one really knows.
