yes the bell housing bolt pattern on the 454 is the same as the 350 so it will bolt up to your tranny. The motor mounts are the same, and you will have to upgrade your radiator to a four row. You will just have to redo your exhaust system. Legality? well if you live in California forget about it, but if you live in a state with pretty liberal smog laws then your in like Flynn.
