The Overall winner of the Tour De France (Yellow Jersey) is the Rider with the least accumulated Time over all the Race stages for the Three week Race.
The "short" answer is least total aggregate time for all stages (the legs) of the event. If you watch the event, you'll note that the rider in second is at "+34 seconds" or the 22nd rider is at "+1 minute 15 seconds" or something. The meaning is that's how much more time that particular rider has taken than the leader has taken to cover the entire distance of the completed stages up to a point. In each stage, the race is tracked the same way, and a given rider is either "leading" the stage or is "x" number of seconds behind the leader at a given point in that stage of the event. If you want to ride, to compete, it's by invitation. And the invitation is given to teams of riders. The riders will be picked based on what they've done throughout the past, particularly recently. And points earned per the Union Cycliste Internationale (UCI) will be considered, as will the performance of a cyclist in other races like the Giro and the Vuelta (the tours of Italy and Spain, respectively).

You may get some play if you have a good record as a track cyclist, but don't count on it. The air is thin at the level of the Tour. If you've got the goods, you've already got a spot. Cycling team managers have a say in who rides with a given team. If you haven't been contacted by a team manager for a sit down, don't pack your bags with the idea in mind that you're going to ride in this, the top cycling event in the world. Only the best of the best get to clip in here.

You have to be on a pro tour team and that pro tour team needs to be invited to the tour. The tour is like the Super Bowl for football, you can't just jump in, you need to be a professional and on a professional cycling team.

In order to participate in the Tour de France, a cyclist must be on a team. Teams are chosen by their ranking with the International Cycling Union.

The Tour de France is a professional cycling stage race, consisting of 21 days of racing and 2 rest days. The course varies from year to year, but the race always ends in Paris. In a stage race, each stage has a start and end point and the time for each rider to complete the distance is recorded. The stages vary in length, but the average is about 100 miles (160 km). There is one stage each day and it takes the riders between four and five hours, on average, to finish a stage. The stages take place in various places around France (and neighboring countries), so the riders have to deal with a wide variety of weather and terrain.

This year (2011), 22 professional cycling teams were invited to participate. Each team consists of 9 riders. There are no substitutions, so if a rider is injured or eliminated, he is not replaced. Team tactics and strategy become quite complex, as they attempt to optimize the factors of aerodynamics and physiology.

Prizes are given in many different categories. The highest honor (and 400,000 euro) is given to the individual rider who completes the entire Tour in the shortest time. He is considered the "winner of the Tour". There are also prizes for the riders who win at various sprint points and mountain climbs, as well as prizes for winning individual stages. There are also prizes for the teams with the best total time.

Overall win is the rider with the total shortest time, but then you can also "win" smaller victories by being the fastest sprinter, or the fastest climber.
