a provision in a law or contract that limits or reverses a payment or distribution for specified reasons. For example, a limited partnership agreement might have a clawback provision requiring that when cumulative profits are tallied at expiration, distributions received by the general partner in excess of a certain percentage will be deemed excessive and returned to limited partners. Another example: In the Privatization of an enterprise owned by a national government, the anticipated demand for shares may be so great that the underwriting agreement will contain a clawback provision that restricts foreign subscriptions until domestic demand is satisfied. A dividend clawback requires the sponsors of a project to contribute dividend payouts as equity to cover future cash deficiencies. It is also a legal measure to force individuals to give up bonuses received from a company.
