PNG Ventures, Inc. was incorporated in the state of Nevada on September 23, 1995 as Telecommunications Technologies, Ltd. On September 24, 1995, the Company entered a plan of reorganization whereby it purchased all the assets of Temple Summit Management Corporation, organized in the state of Texas on August 23, 1991 and re-incorporated in September 1994. On March 5, 1998, the Company changed the corporate name to PNG Ventures, Inc. in connection with the intention to acquire a controlling interest in San Kung Trading Limited. The Company’s business plan is to capitalize on the anticipated growth in the consumption of natural gas, and in particular LNG, as a vehicle fuel and to enhance its leadership position as that market expands. It produces LNG at its Topock, AZ plant by processing pipeline quality natural gas through different purification applications, and then refrigerating such gas to a temperature of approximately -260 degrees F. Once liquefied, the LNG is stored at its plant site in above ground, cryogenic storage tanks and ultimately shipped via tractor trailers to customer sites. The Company sells all of its LNG to fleet customers, who typically own and operate their fueling stations. It also sells a small volume of LNG to customers for non-vehicle use. The raw material for its Topock plant is pipeline quality natural gas. The market for vehicular fuels is highly competitive. The Company’s main competitor in its current markets is Clean Energy Fuels Corp. Its business and operations are affected by different federal, state, and local laws, rules, regulations, and authorities.
