You can't actually 'upgrade' and old ipod touch to a 4th gen. You could sell your old ipod and use the money plus some extra to buy a 4th gen.
The 1st gen ipod touch only comes with the accelerometer, not the app store, you will have to upgrade the firmware to 2.1, for around $9.90.
