Disconnect the drain hose from the dishwasher if there is one connected, the drain for the disposal hooked to the sink drain and the electrical supply.
The disposal itself is held in place with a locking ring. Right below the sink, you will see a ring that has 3 tabs sticking out that look like 1 inch pieces of tube. Use a phillips head screwdriver in the tube as a pry bar and rotate the ring counterclockwise. Hold up on the disposal while doing this.

With the plate loose, you can take the snap ring off the bottom of the drain and take it out of the sink. To install the new disposal. reverse the process.
