I am assuming you are talking about the Catalytic Converter. You might have to replace because it is not meeting smog requirements. The "cat" uses heat to burn any remaining fuel that the engine did not use after combustion. They are prone to failure by there very nature of needing high heat to operate.
Best way is to replace the pipe from the header back past the cat, it sold this way from most parts houses and is the fastest and easiest way to replace the cat, you can also buy the cat separate, then cut out the old one and weld in the new, but that is more work than is necessary.

depends on where ya get the cat converter to be said about the price. but they usually run about 60-70 dollars... plus labor would be around 30-40 dollars cause it is rough to squeeze under their to replace it.
