Basic form: 友達にならないか?(Tomodachi ni nara nai ka?)
Polite form: 友達になりませんか?(Tomodachi ni nari masen ka?)
They both mean 'Won't you be my friend?', because asking straight out if somebody 'wants' something is considered rude in Japanese culture.

Shinyuu [親友] means close friend or best friend.
