Either behind the catalytic converter (canister looking thing under the body of the car) or in the other manifold..i have a 2.5 not sure if 3.2 has 2 manifolds

You can either pull the trans or pull the engine. Your choice, But you must do 1 or the other to get to the converter.
it may be possible but it has to be the same year TL 2001 TL type S and a regular TL BUT same year may be possible but before swap check the conectors and all sensor to be the same plug and no more or less conections.
