Without any context it's hard to tell, but it presumably means "version 45". It could refer to the 1983 Honda V45 Magna or the Princess V45 Sports Yacht, or anything that has V45 in the title.
I would say it is not worth more than $200 unless you have a parts bike - because bike parts are expensive and it will cost you more to fix than it is worth.

Test ride each one and see which one you like. They are two different bikes. The Honda V4 is smooth and packs more punch than a V-Twin of the same size. The Honda Shadow uses the more popular V-Twin engine and has more parts available for customization. It depends what you want and what your purpose is for your bike.
Castorl GTX is a good oil that will not break down clutch plates and is relatively cheap. a good 10-40SAE weight oil will do great, as motorcycles need slightly thicker oil than cars.
