Yes , Major Motoko Kusanagi is in Ghost in the Shell 2 : Innocence but not in her previous form since she is now part of the net itself and can control another cyborg through an external/remote link . She appears as a customer in the shop where Bateau is and then in the foyer with a warning for Bateau as well as a "sex-aroid" helping Bateau to battle his way into the interior of the Locus Solus ship .

If you meant which film preceded the anime series then it would have been Ghost in the Shell itself and then Ghost in the Shell 2 : Innocence which spawned the series Ghost in the Shell : Stand Alone Complex 1st and 2nd Gigs then the film Solid State Society . The Manga, by Masamune Shirow , came before them all and was later adapted into the films and series as well as three prose books . The movies and TV series are set in alternate universes. Ghost in the Shell is set in 2029 and Ghost in the Shell 2: Innocence takes place 3 years later in 2032. The television series starts off in the year 2030. However, the third film Ghost in the Shell: S.A.C. Solid State Society follows up on many of the events that ended the second season Ghost in the Shell: S.A.C. 2nd GIG. The films and series were set within different timelines ~ see related link below .
The two "Ghost in the Shell" films are essentially the same . To watch one is the same as watching the other . In so saying the 2.0 edition does have some differences such as several characters have different voice over actors and the film has been re-visioned with more CGI .I would watch the 2.0 version and consider it the definitive edition since the original director Mamoru Oshii had creative control over the 2.0 edition .A friendly reminder that "Ghost in the Shell" has a sequel titled "Ghost in the Shell 2 : Innocence" .Additionally , a live action "Ghost in the Shell" film is due to be released sometime in 2011 .
