To the extent of my understanding, a gray-out is caused by oxygen deprivation to the brain. When a person blacks out, he or she loses consciousness completely. A person can gray out without blacking out if their brain is lacking oxygen for a period not quite long enough to cause unconsciousness, such as in a high-G roll or loop in a plane when the gravitational force sucks the blood from the brain.
