The serial code is the code you use to activate a copy of the game and add it to your Steam library. The code comes with the retail copy of the game, usually it is printed on the manual.
You don't need to buy Skyrim from Steam, but it does need to be linked to your Steam account (by registering the serial code you should have got with the game).
On the Steam "Games" tab, click "Activate a product on Steam...".

If you've purchased the game on CD-ROM then you can find the serial code on the back of the instruction manual. If you have downloaded it on the internet you have to use somebody else's serial code by browsing and searching for one on the web. If you have downloaded it on steam then contact them because this shouldn't happen.
A person can play GTA IV with someone on Steam by logging into their Steam account. They will then be reqiuired to enter the serial code, which will make the multiplayer mode operational.
