Proprietary software is software owned by someone, it might be free or not, as opposed to Open Source software, which has it's source code open for anyone to modify, improve and analyze(Linux being the best example, then Firefox, Open Office, etc.)

Freeware is just free, it can be proprietary, but it can also be open source.
