Which version are you coming from? There have been substantial improvements (new features and enhancements) in CS5 over CS4, and more still over CS3...

To open a Flash CS6 file in Flash CS5, you need to save the CS6 file in a compatible format. First, open the CS6 file and go to "File" > "Save As." Choose "Flash Professional 5" from the "Save as type" dropdown menu.
