You get Nano-Shards from breaking down items (Right click on an item and click the Screw icon). It is seemingly random, but it seems that higher quality items has a better chance of getting one.
The "orignial" version of Hellgate, didn't require nano-shards for common item upgrades but the patch introduces nano-shards as a requirement for all items.
