You cannot find or catch a Celebi in Pokémon HeartGold or Pokémon SoulSilver. Celebi is an event-only distribution so Celebi can only be received during official Nintendo-sponsored event distributions or via a trade with someone that has received an official Nintendo-sponsored event distribution. Additionally you can use a cheating device such as an Action Replay in order to receive a Celebi via a cheating code in order to allow Celebi to appear in your game much like a wild Pokémon would.
