I think Venom would win because of all his superhuman abilities like Spider-Man and all Man-Bat can do is fly, smell, doesn't even know what he is doing and can easily be beaten by an ultra sonic noise.
In Man-Bat's defense, they're both super strong, and venom may be able to swing from webs like spiderman, but he can't fly. On the other hand, you're right Man Bat loses control of himself when he becomes man bat.
