Feudalism began when the Roman Empire lost the ability to run its far flung bureaucracy from the capital. Instead of appointing bureaucrats from Rome, it made the jobs hereditary. This became a part of Roman Law. When the Germanic Tribes over ran the Roman Empire, the German officers became the Nobility and the old Roman hereditary bureaucrats became lords of the manor. So, the top layer of government was replaced by a new top layer. They kept Roman Law but added Feudal Features.
