Most tornadoes actually form on land. Those that do form on water usually from by a different mechanism. If the water is warmer than the air above it convection starts. This can produce towering cumulus congestus and cumulonimbus clouds which can become thunderstorms. At the same time, if there is vorticity in the environment, convection near the surface may start spinning. The lower-level updraft can then connect with the clouds overhead to form a waterspout. Ordinary tornadoes (called tornadic waterspouts in this case) can also form on water but when they do it is mostly by coincidence. Neither type of waterspout are officially counted as tornadoes unless they hit land.
