A corporate lawyer has a steady paycheck, probably a pension or 401k plan and does not have to deal with a lot of individual clients who think they can boss the attorney around and micromanage the case just because they are paying the bill. The corporate lawyer does not have to maintain a law office, by making sure there is enough money coming in to pay the rent, salaries and expenses. On the other hand, the corporate lawyer's income is not completely under his control, may not make enough money to contribute to a pension and has to deal with only one client (the Boss) who thinks he/she can boss him around and micromanage the work just because the company is paying the lawyer's salary. The corporate lawyer takes the office the company gives him/her. So there are pros and cons to being a corporate as opposed to a private lawyer.
