The more recent rock layers will contain fossils that are more similar to current species because of evolution. The older the fossils, the more evolutionary changes will exist between them and current species which accounts for the greater differences.

Many possibilities, eg. conditions were not right for fossilization, there were no creatures about to be fossilized, or the rock has been altered and all traces of fossilization lost. Some fossil localities will have meter after meter of barren rock, with only very few thin rich layers of fossils. This forms an interesting record of what was going on at the time, and can provide a wealth of clues as to what life was like hundreds of millions of years ago.
