The motor will fit since everything is the same in the Intrepid from 1998 to 2004. There are 3 different motor sizes, 2.7L, 3.2L, and 3.5L. The motor mounts and the basic configuration is different on the 2.7L. The 3.5L is an expanded 3.2 so those 2 are the same. Also make sure the transmissions are identical.
The main thing to compare is the amount of connectors on the engine computer. The target wheels for the cam and crank sensors are different after about 2002. If the computer has 2 connectors, an engine from a car with 4 connectors will not work.
