No, it will definitely not fit. If you have an AM3+ CPU like for example an FX-8150 or an FX-6100, a Phenom X4 or even an AMD Athlon II X2, you have to use an AM3+ socket, or in the case of the Athlon II X2, or X3, or X4, or the Phenom family of CPU's you can use AM3+'s predecessor: the AM3, as well as the AM3+. However, the 939 is a much older socket which is not compatible with most modern day AMD CPU's.

Yes. You can use 754/939 heatsinks on an AM2/AM3 motherboards. Just watch the temperature and be careful on the faster 125watt cpus. You'd probably be ok with a 95watt AM3 cpu as long as you don't overclock it. Oddly sometimes the old heatsinks are even better than the new ones. The heatsink that came with my AMD II X4 960T belongs on a Duron or some other cpu from the 90's. It's terrible. Conversely the AMD heatpipe cpu that came on my AMD 64 3200 is a million times betters than that stock 960T heatpipe. Just go for it and watch the temps.
