You have to go to the dealership to have your keyless remote reprogrammed. They have a scan tool to tell the computer that you are using a new key fob. I just did it to my 1997 sebring. I knew the service manager, so he let me borrow it, it took me about 15 minutes, most will do it for a small fee, some will do it as a courtesy.
The factory alarm can not be disabled. It is reset by unlocking the car with the remote or with the key in the door.
