A bird has one long series of bones through it's wings, while a bat's wings are actually distinct shoulders, arms, and fingers. A bird has no external ears, while bats do. Also, a bird lays eggs, and a bat gives birth to live young. A bat also has a pair of pectoral breasts with which it feeds it's young. Thus, the bat is a mammal. It is strange that the bat is a flying mammal, but there are non-flying birds (like your penguin).

Being a bird has nothing to do with whether or not an animal can fly. Ostriches, emus, and penguins can't fly, but they're just as much bird as the finch or crow or dove. Likewise, mammals don't have to walk, crawl, or climb. They can fly if they want to. The Flying Squirrel glides, right? A mammal is an animal that gives birth to live young and feeds them with it's milk. It's usually covered in fur, but not always.
