The CWK extension dates back to Apple's old Claris Works software. This was later replaces by Apple Works which also used the CWK extension but that has now been discontinued. Apples current iWorks software will open word processing and spreadsheet files with the CWK extension. Failing that try DocXConverter (See links below) and convert the file to another format.

If you do not have the password, then you cannot open the file. You may need to open it in Excel and then disable the password, and then go back to Works and open the file.
Normally xls is the extension for an Excel spreadsheet document.
