So if the pass mark is 40, then anything greater or equal to 40 can be set as a condition, and then format the cell to be green. If it is less than 40 would be another condition for which the cell will be set to red. Start by selecting the cell or cells you want to apply conditional formatting to. Then go to the Format menu, and you will find Conditional Formatting on it. You can then start setting the conditions you want and the formatting that you want for those conditions.
