To avoid the appearance of being a "sham" company, there must be records of everyhing done in the name of the company, including (at a minimum) "minutes" of the "annual meeting", which could be little more than a signed piece of paper giving unanimous consent of all shareholders to waive the annual meeting and to vote to accept the minutes from the previous year.
